Former railway bank

Baltic Bank is the legal successor of the Leningrad Bank of Railway Transport Lenzheldorbank, founded in 1989. PAN owns a dozen landmark real estate properties in St. Petersburg. ARIN experts estimate their market value at 600 million euros. Banking market participants believe that many, if not all, of PAN's assets were acquired with loans from the Baltic Bank.

Signs of conflict

The first signs of a corporate war between Andrei Isaev and Oleg Shigaev appeared in the spring of this year.

Baltic Bank filed claims in the Arbitration Court of St. Petersburg and the Leningrad Region against two PAN structures: Singer CJSC (manages the Singer House) and Moika 22 LLC for the collection of debts on loans issued back in 2005. As part of the second lawsuit, the bank demanded that the building be seized, after which the defendant immediately repaid the debt in the amount of 310 million rubles. Then outside lawyers noted that such a claim could be a simple formality designed to resolve a controversial issue between the partners. However, during May–June 2013, new claims were filed in court. First, the bank terminated the agreement with PAN for trust management of the Northern Capital business center building, which was immediately sold to structures affiliated with the bank.

At the same time, the court received a claim from the bank against the management company to recover 262 million rubles from the latter. As part of this lawsuit, the Baltic Bank demanded that the PAN accounts in the Baltic Bank be seized, from which, according to the bankers, attempts are being made to withdraw funds. Then, the management company PAN-Trust, owned by Andrei Isaev, filed a claim with the arbitration tribunal against the Baltic Bank for termination of the bank account agreement.

In addition, against the backdrop of legal vicissitudes, changes occurred in the structure of the share capital of the Baltic Bank: Baltic Trading House LLC left it. The company transferred the bank's shares to the beneficiaries themselves: Oleg Shigaev and Andrey Isaev each began to own 49.87% of the bank.

Silent War

The owners of Baltic Bank do not advertise the fact of the internal corporate conflict. Isaev’s representative told dp.ru that the partners’ relations are normal. “And the claims filed in arbitration are purely technical,” he claims.

Experienced fighter

This is not the first time that Baltic Bank has experienced a conflict between co-owners.

In the previous fight, which took place 15 years ago, Oleg Shigaev also took an active part.

Then he worked as Deputy Minister of Railways, where he moved from the post of First Vice-President of the Baltic Bank. Shigaev, according to media reports, informally controlled Baltic Trading House CJSC (BTC), one of the large shareholders of the Baltic Bank, which then existed in the form of a LLP (limited liability partnership).

The largest block of shares in the bank's capital then belonged to a division of Russian Railways - Oktyabrskaya railway. But the “opposition” co-owners, led by BTC, took aggressive steps against OZD: they convened an alternative meeting of shareholders, and challenged the appointment of the chairman of the bank’s board in court. By the way, this position was held by Olga Kazanskaya, now the vice-governor of St. Petersburg.

The background to the conflict in the bank could be the reluctance to repay large loans received by structures affiliated with BTC. OZD gained the upper hand in that confrontation and soon increased its share in the bank’s capital to a controlling stake, but Oleg Shigaev headed the bank in 2000.

Subsequently, the structure of the bank's owners changed several times and eventually took its current form.

The echo of the corporate conflict in St. Petersburg has reached Lake Geneva. A Russian banker is unlikely to be able to hide in the safe haven of world capitalism under the guise of a victim of the regime.

Oleg Shigaev– co-owner and ex-president Baltic Bank - ended up on the Interpol list. Thus, there is every reason to believe that Interpol agreed to include the banker in the wanted list, assessing the chances of his extradition from Switzerland as quite high.

Corporate Harassment

In the Shigaev case, it is not political, but corporate persecution that is clearly visible. And the intensity of the struggle can be assessed by the fact that proven “Alfa fighters” entered the fight for the assets of the Baltic Bank - Alfa Bank, to which the Deposit Insurance Association (DIA) entrusted the reorganization of the Baltic Bank in August 2014. And at the end of 2014, Baltic Bank already joined the Alfa-Bank banking group.

Alfa Bank won the competition for reorganization, despite long list potential applicants. Otkrytie, MDM, Binbank, Novikombank and even Vneshprombank were noticed in it (the latter subsequently collapsed so that no one dared to raise and save it). The DIA allocated 57 billion rubles for the operation, and another 10 billion came in the form of a loan from the Central Bank. The nature of the rescue operation, as well as the composition of its participants, is determined by the presence of a serious conflict between the owners of the Baltic, as well as the possibility of exiting it profitably. In essence, this is an opportunity to gain control over attractive real estate in the center of St. Petersburg: we're talking about about the so-called “Singer House” located on Nevsky Prospekt, also known as the “House of Books”, and about the building of the Kempinski Hotel on the Moika embankment. Both objects entered the Baltic business perimeter in the mid-2000s, when the Central Bank began to require replenishment of the capital of credit institutions when they were included in the deposit insurance system.

It was then that the accusation came to light that Oleg Shigaev, shortly before the start of the reorganization, withdrew more than 3.37 billion rubles from the bank, of which 2.6 billion went to the personal accounts of Shigaev himself.

I was very upset about the elimination of the Russian team in the quarter finals. Yes, we can say that the result is good for us. Many did not believe in the team, even in leaving the group. But we passed Spain in 1/8. Yes, it could be better, but that's how it is. And yet, I was really upset.

- How has the city changed during the World Cup?

In a dramatic way. Let's take the area around the stadium. Now it has been put in order, and in fact it turned out that a new city was built. The Insar River flows in this place and everyone associated it with dirt. The authorities tried to hide it and not show it to visitors. Enclose with a fence. But now they have cleared the banks, raised them, expanded them, and built an embankment along which you can walk and enjoy the views.

I have never heard any negative reviews from locals. No one has ever said to me, “We don’t need a World Cup,” etc. Everyone is happy and proud of this event.

- What connects you with the Mordovia football club?

The only thing that binds me is that there are players on the team whose interests we represent. Of course, this is my home team, which I will always have in my heart. I will never forget the moment the club reached the Premier League for the first time. The small town, 300-350 thousand inhabitants, was represented among the elite. The city went crazy for three days. It's hard to even imagine what it was.

- What is his future fate?

I hope that the new team director Nikolai Vasilyevich Levin will return the team to where it should be, taking into account the infrastructure and most importantly, his desire to set tasks for the team. I have no doubt that in a couple of seasons Mordovia will return to the Premier League. In my opinion, the first step towards this has already been taken. The new/old director has returned to the club. This is right.

- Does the region need a club/stadium?

Of course we do. There were almost 27 thousand people at the FNL first round match. In my opinion, everything is clear here. But it is also important that the head of the Republic has a desire to develop all this. If it happens, then football club big potential.

I really hope that everything that has been built - infrastructure, bases, arena, stadium - will be used correctly. This is a very serious springboard for local football. Under his feet there is a basis on which the team must be built.


- How much time does your work take?

A lot of. I'm immersed in it headlong. Approximately 24 hours 7 days a week. But I love her. So I don’t feel any discomfort about this. I want to do this business and realize my plans.

- How does your family feel about this?

At first I had to explain why I had to be in touch even at night. Now with understanding.

- How were you received in the agency business?

When any person comes into this area and is recognized as a new person, then everyone who does not know you has the following question: who is he? But over time, you prove with your actions that you are worth something, and people begin to treat you differently. Respect appears. But again, like everywhere else. In any other field of activity.

- Were there any conflicts with competitors?

I think that there are always conflicts in our topic. Sometimes it's open, and sometimes people live with it and look at you askance. I think this is wrong, but you won’t be nice to everyone, and competition is the engine of progress, without it you can’t go anywhere.

- Did you have any disagreements with your players?

Situations are different. I try to look for compromises, since I myself am a non-conflict person, but, given our sphere, conflicts arise, yes.


- Is there a specific example?

Every agent has plenty of such examples. A football player, in my opinion, must correctly perceive the things that you are trying to explain to him. I don’t want to give specific examples. This will be incorrect.

- The most difficult client?

Hard to say. Our profession is such that we need to find mutual language with everyone. There is no such thing, some are complex, some not so much.

- What is your worst negotiation?

There haven't been any like this yet. Initially, when I entered the profession, naturally, difficulties arose, the reason was simple - lack of experience. For example, I didn’t know how to behave at a meeting or what to say.

- What are the dangers of the agency business?

I was pessimistic about the forecasts regarding the performance of our team. But if you look at what they said about the team and how it performed, this is an excellent result. We made it to the top eight strongest teams in the world.

- Has your agency only had one player on the national team so far, Igor Smolnikov?

No, we called up Evgeniy Chernov, the left back of Zenit. Stanislav Cherchesov invited him to the national team training camp.

What can you say about Smolnikov’s debut? I know that he apologized to the team on the bus. (Igor Smolnikov received a red card in the game with Uruguay). I won’t single out anyone in the team. As a team they deserve praise. But if you take into account age, club affiliation, what is the desire to leave for Europe, then I will mention Golovin, Zobnin and Fernandez. They are definitely capable of moving to any of the Top 5 leagues.

- Why don’t they leave?

A combination of factors. High salaries, mentality, plus it’s better to fight for titles here, to play in European cups, than to fight for basically nothing in Montpellier, Udinese, Stoke. I remember those who disappointed more - Germany, Argentina, Poland. I know from the Poles that they changed their formation just before the start of the championship. From playing with four defenders, they switched to playing with three central players, and this is a question, of course, for the head coach, with whom we parted ways immediately after the tournament. But there is also goodies- Japanese. It was a perfectly staged game, maybe we were a little short of experience with the Belgians, but they played with inspiration, they were leading 2:0 – that’s worth a lot. Can a nice word remember Iran, Peru and Mexico. If it weren't for VAR, Iran would have left the group altogether. But considering that the Spaniards got there instead and we beat them, maybe this is for the better. The most pleasant impression of such dark horses was left by Iran.

- Messi, Ronaldo won’t win the World Cup again?

Honestly, I’m very sorry for Messi, somewhere he himself is to blame, but still. I hope that they will still play and Messi will win the Cup.

I think 32 teams is just right. There is someone to look at. This is a big festival, a month long. And it left an excellent aftertaste.


-Who did you root for in the final?

If I don’t have any sympathy for a particular team, then I root for beautiful football, or for the team that is initially weaker. On paper, the Croats were weaker.

- Are the French a team without weaknesses?

A very competent specialist is working with France - Didier Deschamps, this victory is his merit. It is clear that he has young football players on his hands that are crazy in terms of their level, but they still need to be properly built into a single whole. They are world champions - this team can become a dynasty. I think it will.

You are sometimes very categorical on your Twitter. Do you think that Vukojevic should not have been in the locker room with Putin?

I understand that Vukojevic celebrated a worthy result for his team, which may not happen in the future, but there are things that are not acceptable. 5 days ago he shouted “Glory to Ukraine”, and now he appears in the same photograph with Vladimir Vladimirovich Putin. At such moments, it seems to me that I don’t understand something in this life. You must be consistent in your actions. I can’t explain it, I don’t know what’s in his head, I think that the act he committed after the game with Russia was unacceptable.
